                            SKYPOINTS TERMS AND CONDITIONS

Please read this Member Agreement (the "Agreement") before joining the Skypoints Rewards Programme. This Agreement outlines the terms and conditions governing your participation in this Programme, and it is your responsibility to read and understand them. Through joining the Skypoints Rewards Programme, you agree to be bound by these Terms and Conditions. Participation in the Skypoints Rewards Programme is offered at the sole discretion of the Programme operators, Skybridge Consulting Limited., who reserve the right to change the Terms and Conditions, in whole or in part, at their sole discretion, with or without prior notice.

1. The Skypoints Rewards Programme is for the use of residents of the Greater China 18 years or over. Residents of other countries will be accepted into the Programme, however it is their sole responsibility to ensure that the collection and redemption of Skypoints does not contravene any local laws regarding sales promotion or sales incentive schemes. If such activity is deemed to contravene any local laws, Skybridge Consulting Limited. may at their discretion close such accounts as are held in these countries.

2. An individual can join the programme once only. An individual maintaining multiple Skypoints accounts can be removed from the Programme, at Skybridge Consulting Limited. sole discretion.

3. As a member you agree to provide only true and accurate information to the Skypoints Rewards Programme (including its advertisers and partners) at all times.

4. By enrolling in/or using the Skypoints Rewards Programme you agree that you have read and understand this Agreement and that your membership in the Programme will conform to its terms and conditions.

5. Skypoints members may earn Skypoints for joining of the Programme; taking advantage of Skypoints earning opportunities within the Programme and other third party websites; reading and responding to offers from participating advertisers and partners via email and complying with the terms of other offers or Programmes from Skypoints or other companies.

6. Skypoints reserve the right to remove all accrued points from any account that has been dormant for a period of 24 months or more. We will make every effort to contact the account holder, via their nominated email address, to notify the account holder if the accrued points are at risk of removal. If a reply is received confirming that the account is still active, Skybridge Consulting Limited. will continue to maintain the points balance. In the absence of a satisfactory response, the accrued points will be forfeited, though the account will remain open.

7. Skypoints reserve the right to terminate any account that is not activate (i.e. does not earn any Skypoints) within 6 months of joining. Skypoints will attempt to contact the account holder prior to this occurring via the email address supplied.

8. As a member, you are entitled to earn Skypoints in the prescribed manner and amount as detailed on the Skypoints website and through authorised communications by Skybridge Consulting Limited., its partners and clients to Skypoints members. The methods of earning Skypoints, as well as the amounts available are subject to change from time to time and will be communicated via the Skypoints website.

9. Unless otherwise specifically notified, Skypoints can only be earned via the Skypoints Authoritied Partners both offline and online. A participant's failure to correctly follow any required instructions or procedures may result in no Skypoints being earned, for which the account holder will have no recourse against Skybridge Consulting Limited. or any participating companies.

10. Skypoints earned are recorded against your account information, however any Skypoints earned are never available for redemption until payment has been received in full from the participating company where those Skypoints were earned to cover the cost allocation of those Skypoints.

11. Skybridge Consulting Limited. is not responsible for changes to, or discontinuation of any Skypoints earning opportunity through third party companies, nor are we responsible for the inaccurate communication of Skypoints earned through a participating site, by that participating company.

12. You are responsible for assessing any tax implications that may arise through collecting Skypoints, and for the payment of any said taxes.

13. To redeem Skypoints against free rewards, discounts and privileges, the account holder must have sufficient Skypoints accrued and fully paid for by the relevant participating companies. Skypoints that have been allocated, but not yet paid for are never available for redemption.

14. Skybridge Consulting Limited. reserves the right to change the range of products and services available for redemption of Skypoints, as well as the number of Skypoints required to make any such redemption from time to time and will be communicated via the Skypoints website. Any reward requested for delivery outside mainland China would incur extra delivery charges, which will be dependant on the destination and product. Skypoints Redemption department will contact a member direct to confirm the added cost in Skypoints for delivery.

15. Each individual joining Skypoints will register under their username and password.

16. For authorisation and redemption purposes, you will be required to identify yourself through your username and password. For the avoidance of doubt, any individual logging in with a correct username and password will have full access to that account, and it is the sole responsibility of the account holder to ensure that this information is not made available to unauthorised individuals.

17. Skypoints may not be transferred to other accounts nor pooled together in any manner.

18. Unless specifically notified, all rewards supplied in return for Skypoints are provided solely by the named third party, and Skybridge Consulting Limited. makes no warrant in respect to any Reward. You must exchange defective products or goods by following the supplier-designated procedures.

19. Skypoints have no monetary value, and cannot be used for any purpose other than redeeming designated rewards. At no time will rewards be available to be refunded for their cash value.

20. The sale or barter of Skypoints is strictly prohibited by Skybridge Consulting Limited.

21. You give permission to Skybridge Consulting Limited. to provide your customer details to third party companies for their use within the rules and restrictions of the Data Protection Act, unless you have indicated that you wish to "opt out". You have the full right to "opt out" of any third party communication at any time after joining. If you would prefer not to receive such offers please indicate your preference by ticking the box provided, which is located on your Account Details page.

22. By joining the Skypoints Rewards Programme you agree to allow Skybridge Consulting Limited, its partners and clients to communicate with you via email with suitable offers, which may contain opportunities to earn and redeem. Skypoints will always use this communication method responsibly. If you would prefer not to receive such offers you can email Skypoints at: unsubscribe@skypoints.cn alternatively you are given the opportunity in every email received to opt-out of receiving any further communication.

23. By ticking the 'Receive exclusive offers and information from Skypoints via sms/email' you agree to be sent information about your account and the Skypoints loyalty programme. If you would prefer not to receive such offers please indicate your SMS/email preference by un-ticking the box provided, which is located on your Account Details page.

24. By ticking the 'Receive exclusive offers and information from Skypoints Retail Partners via sms/email'. You agree to receive messages for marketing purposes and for companies outside of the Skypoints programme to offer you further products or services which we think may be of interest to you. You may opt-out at any time by un-ticking the box, which is located on your Account Details page.

25. In the event that a member expressly requests to leave the Skypoints programme, no further communication will be entered into between Skybridge Consulting Limited. and the individual. The individual will have 30 days to redeem any Skypoints they may have collected subject to the terms and conditions of the programme. After this date, any unused Skypoints will be forfeited.

26. Skybridge Consulting Limited. does not make any warranty, guarantee, or make any representations regarding the quality of, or assurance of any advertisement or any merchandise, products, or services offered or provided by third party companies participating in the Skypoints Rewards Programme.

27. You expressly agree that no Skypoints earned by yourself are available for your redemption until payment has been received in respect to these Skypoints, regardless of whether they appear in your account information. You will not hold Skybridge Consulting Limited. responsible for the non-collection of any monies due in relation to your Skypoints, and the subsequent non-issuance or removal of Skypoints from your account for this reason.

28. We may from time to time adjust your Skypoints account upwards or downwards in respect to accounting errors, non-payment from third parties, multiple accounts, refunds issued, products returned or suspected fraud, for which we have full authority.

29. Skybridge Consulting Limited. reserves the right to terminate the Skypoints Rewards Programme at any time. In this event , you will have 30 days from the notice date of programme termination to redeem any Skypoints as per the above terms and conditions. Unless specified otherwise, no additional Skypoints will be able to be accrued during this Termination period.

30. Skybridge Consulting Limited. will make every effort to communicate to all members the termination period, however we will not be held responsible for failing to notify any individual regardless of the reason.

31. Skybridge Consulting Limited. may modify this agreement from time to time, with or without notice, and your continued participation in the Skypoints Rewards Programme will be deemed as your acceptance of the new terms and conditions.

32. An individuals participation and acceptance into the Skypoints Rewards Programme is subject to these terms and conditions, and participation may be refused at the sole discretion of Skybridge Consulting Limited. without recourse. Any fraud or abuse of the system will result in the immediate termination of that account and total forfeit of any Skypoints accrued.

33. All questions or dispute regarding the Skypoints Rewards Programme, including without limitation, questions regarding participation and eligibility must be submitted in writing within 90 days of the query where applicable, to Skybridge Consulting Limited.,47F,HongKong New World Tower,No.300 Huaihai Zhong Road,Shanghai. Any such dispute will be resolved by Skybridge Consulting Limited. at their sole discretion. All interpretations of these terms and conditions shall be at the sole discretion of Skybridge Consulting Limited. In the event of an error by Skybridge Consulting Limited. your sole recourse will be the crediting of any disputed Skypoints.
